📄 TERMS OF SERVICE
Managed On-Demand Website Builder Plans
Small Business Digital Toolkit LLC
Effective Date: Upon Form Submission and or 1st Plan Payment Received
These Terms and Conditions (“Agreement”) govern the Managed Website Plans (“Plan”) provided by Small Business Digital Toolkit LLC (“Company,” “we,” “us,” or “our”) to the client (“Client,” “you,” or “your”).
By enrolling in a Managed Website Plan, you agree to the following terms:
1. SERVICES PROVIDEDUnder the Managed Website Plan, the Company agrees to provide:
- Website design services with design costs offset over time
- Website hosting and basic maintenance
- Website updates and content changes as outlined in the selected plan
- Ongoing technical support related to the website
- Security monitoring and basic performance upkeep
2. WEBSITE OWNERSHIP & ACCESS
- The website remains the property of Small Business Digital Toolkit LLC until:
- The Client completes the minimum commitment period AND
- The Client’s account is current with no outstanding balance.
- Upon full satisfaction of the agreement, ownership of website content may be transferred upon written request.
- Hosting environments, proprietary layouts, and system tools remain the property of the Company.
3. FEES & PAYMENT TERMS
- Client agrees to pay the monthly or yearly fee associated with their selected plan.
- Payments are due in advance on the billing date.
- Failure to make timely payments may result in:
- Temporary suspension of services
- Website being taken offline
- Repeated late payments may result in termination of services.
4. DESIGN COST OFFSET
- Website design costs are amortized and offset through the Client’s recurring plan payments.
- If the Client cancels before completing the minimum commitment period, the remaining design balance becomes immediately due.
- Design cost balances are calculated based on custom website design pricing each client cost is different.
5. MINIMUM COMMITMENT
- A minimum commitment of six (6) months is required unless otherwise stated in writing.
- Early termination before the minimum term requires payment of:
- Any remaining design cost balance
- Any unpaid invoices
6. WEBSITE UPDATES & CHANGE REQUESTS
- Updates include text edits, image swaps, and minor content changes.
- Requests must be submitted in writing via email or approved communication channels.
- Update limits and turnaround times depend on the selected plan:
- Starter Plan: Limited monthly updates
- Growth Plan: Unlimited reasonable updates
- “Reasonable use” excludes excessive, repetitive, or daily requests.
7. EXCLUSIONS (NOT INCLUDED) The following are not included unless purchased separately:
- Major website redesigns
- Over 50 e-commerce product uploads or management
- Custom coding or application development
- Third-party software, plugins, or subscription fees
- Logo design, branding, or copywriting services
8. CLIENT RESPONSIBILITIES - Client agrees to:
- Provide accurate and timely content
- Ensure all submitted materials are owned by Client or properly licensed
- Review website previews and submit feedback promptly
- Comply with all applicable laws and regulations
9. SUSPENSION & TERMINATION - Small Business Digital Toolkit reserves the right to suspend or terminate services if:
- Payment is more than 15 days overdue
- Client violates this Agreement
- Client engages in abusive, unlawful, or unethical behavior
- Website access may be revoked
- Files may be archived or deleted after 30 days
10. NO GUARANTEES
- The Company does not guarantee specific sales, rankings, traffic, or business results.
- Website performance depends on multiple factors outside Small Business Digital Toolkit control, including Client marketing efforts and market conditions.
11. LIMITATION OF LIABILITY - To the fullest extent permitted by law:
- Small Business Digital Toolkit shall not be liable for indirect, incidental, or consequential damages.
- Total liability shall not exceed the amount paid by Client in the previous three (3) months.
12. INDEMNIFICATION Client agrees to indemnify and hold harmless Small Business Digital Toolkit LLC from any claims arising from:
- Client-provided content
- Intellectual property disputes
- Illegal or misleading business practices
13. MODIFICATIONS - Small Business Digital Toolkit reserves the right to update these Terms at any time. Continued use of services constitutes acceptance of updated terms.
14. GOVERNING LAW - This Agreement shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict-of-law principles.
🌐 DOMAIN REGISTRATION & RENEWAL DISCLAIMER
Domain Name Fees & Coverage
All Managed Website On-Demand Builder Plans offered by Small Business Digital Toolkit LLC require a one-time additional fee of $20 for first-year domain name registration, regardless of the plan selected.
Beginning with the second year and for each year thereafter, Small Business Digital Toolkit LLC will cover the annual domain name renewal cost for the duration of the Client’s active Managed Website Plan, at no additional charge, provided that:
- The Client’s account remains active and in good standing
- All plan fees are paid on time
- The website remains hosted and maintained under Small Business Digital Toolkit LLC
- The Client continues service under the same On-Demand Website Builder Plan
- Domain renewal coverage will immediately end
- The Client will become responsible for all future domain renewal fees
- Domain ownership and transfer may be subject to standard transfer fees and policies
This domain coverage is non-transferable, has no cash value, and applies exclusively to On-Demand Website Builder Plans that include hosting, maintaining and maintenance services.

✔️ CLIENT ACKNOWLEDGMENT
By enrolling via online form in our Managed On-Demand Website Builder Plan, Client acknowledges that they have read, understood, and agreed to these Terms of Service.
